TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale ("Terms") govern all orders, purchases, and sales contracts entered into between VEXRIONEU, SL ("the Company", "we", "us", or "our") and any buyer ("the Customer" or "you") purchasing products—including cameras, lenses, camcorders, and related electronic gear—via our website for delivery across Spain and European Union (EU) member states.

By placing an order on our website, you explicitly acknowledge, accept, and agree to be legally bound by these Terms.

2. Order Formation, Cut-Off Times, and Dispatch Hubs

  1. Contract Formation: A binding sales contract is formed only when we confirm payment and issue an automated Order Confirmation email.

  2. Order Processing Cut-Off Time: Our daily order processing cut-off time is 18:00 (6:00 PM) Spain Local Time (CET/CEST). Orders placed and paid for after 18:00 or on weekends/holidays will begin processing on the next business day.

  3. Fulfillment Centers: Orders are fulfilled from our strategic logistics hubs located in the Netherlands or Hong Kong. VEXRIONEU, SL reserves the right to allocate stock from either location based on availability and routing. No upfront commitment is made regarding the origin dispatch warehouse.

  4. Serial Number Registration: To prevent fraud and manage warranties, the unique serial number of every camera body, lens, and electronic device is recorded and linked to your invoice prior to dispatch.

3. Pricing, VAT, and Customs Protection

  1. Prices & VAT: All listed prices are displayed in Euros (€) and include applicable Value Added Tax (VAT).

  2. EU Duty-Free Guarantee: Products delivered within the European Union are processed under EU IOSS / OSS frameworks or compliant carrier import customs clearance. The Customer will not incur unexpected import duties, tariffs, or clearance fees upon delivery.

  3. Pricing Errors: If an item is mistakenly listed at an obviously erroneous price (e.g., a €3,000 lens listed for €30 due to a software glitch), we reserve the right to cancel the order and issue a full refund prior to dispatch.

4. Shipping, Delivery, and Inspection Duties

  1. Carriers & Transit Time: Shipments are delivered via FedEx or UPS within 7 to 14 business days from order confirmation with cleared payment.

  2. Signature Requirement: Due to the high monetary value of electronic and optical equipment, a physical signature upon delivery is mandatory. We do not deliver to PO Boxes, Packstations, or military APO/FPO addresses.

  3. Inspection upon Delivery: The Customer must inspect the external packaging before signing. If the package shows severe physical damage or broken security tape:

    • You must refuse delivery or ensure the courier driver notes "Received Damaged" on the electronic terminal.

    • You must notify us within 24 hours at support@vexrioneu.com.

5. Return & Cancellation Policy (Right of Withdrawal)

Under EU Consumer Rights Directive 2011/83/EU and Spanish Consumer Law (LGDCU), European consumers have a statutory right of withdrawal, subject to the strict conditions outlined below:

A. Sealed & Unopened Products (14-Day Window)

  • Consumers may cancel and return an item within 14 calendar days of delivery, provided the item is brand new, completely unopened, and in its original box with all factory security seals, shrink wrap, and serial stickers intact.

  • Return Shipping Costs: The Customer is responsible for paying direct return shipping costs. Returned items must be shipped via a tracked, insured courier service (FedEx or UPS).

  • Refund Processing: Once we receive and verify the sealed product, a 100% refund will be issued within 24 hours.

B. Opened Box / Used Equipment Exclusion

  • High-Value Product Protection: In accordance with industry-standard rules for delicate optical electronics, we do not accept change-of-mind returns if the factory seals have been broken, or if the product has been opened, tested, or used.

C. Dead on Arrival (DOA) & Defective Items (24-Hour Mandatory Rule)

  • Reporting Window: Any product received Dead on Arrival (DOA), defective, or non-functional must be reported to support@vexrioneu.com within 24 hours of delivery.

  • Mandatory Unboxing Video: A clear, uninterrupted video recording showing the shipping label, packaging condition, unboxing, and demonstration of the defect is mandatory for DOA claims.

  • Upon verification, VEXRIONEU, SL will provide a prepaid return shipping label and issue either a brand-new replacement unit or a full 100% refund.

6. Statutory Warranty (Garantía Legal)

  1. 3-Year Coverage: In accordance with Spanish Royal Legislative Decree 1/2007 and RDL 7/2021, new products sold to EU consumers carry a 3-year statutory legal warranty against manufacturing defects starting from the delivery date.

  2. Scope of Coverage: Warranty covers internal circuit board failures, sensor anomalies, autofocus motor defects, and manufacturing faults occurring under normal, intended operating conditions.

  3. Exclusions: Warranty excludes accidental drops, liquid/water damage, mold/fungus, sand/dust ingress, cosmetic wear and tear, unauthorized disassembly/repairs, or misuse.

  4. Remedies: Covered defects will be repaired or replaced free of charge (including two-way EU transport). If repair or replacement is unviable, a price reduction or refund will be processed upon agreement.

7. Limitation of Liability & Business Protection

  1. Consequential Loss Disclaimer: VEXRIONEU, SL is not liable for indirect, incidental, or consequential losses, including lost commercial photography income, missed events, rental costs, or lost data resulting from equipment malfunction or delivery delays.

  2. Maximum Liability: To the maximum extent permitted by law, our total liability for any claim shall not exceed the actual purchase price paid by the Customer for the item in question.

  3. Fraud Prevention & Chargebacks: Any unauthorized chargeback, fraudulent return attempt (such as returning a different serial number or empty box), or false claim will be reported directly to law enforcement authorities and payment processors, accompanied by serial number records and delivery signature logs.

8. Governing Law and Dispute Resolution

  1. Applicable Law: These Terms are governed by and construed in accordance with the laws of Spain and applicable European Union regulations.

  2. Online Dispute Resolution (ODR): Pursuant to Art. 14.1 of Regulation (EU) No 524/2013, the European Commission provides an online platform for consumer dispute resolution at:

  3. Jurisdiction: Legal actions involving consumers shall be subject to the jurisdiction of the competent courts of the consumer's place of residence within the EU.
